3. User Accounts

• Teacher: Individual educator account

You agree to use Matcha only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or viruses
• Attempt to gain unauthorized access to our systems
• Use the service to harass, abuse, or harm others
• Generate inappropriate or harmful content
• Resell or redistribute our services without permission
• Use automated systems to access the service excessively

5. Content and Intellectual Property

Your Content

You retain ownership of content you upload to Matcha. By uploading content, you grant us a license to:

• Store, process, and display your content
• Generate derivative educational materials
• Improve our AI models (in anonymized form)

Generated Content

Content generated by Matcha:

• You own the rights to content generated specifically for you
• May contain elements from our proprietary databases
• Should be reviewed for accuracy before educational use
• Must not be used for commercial redistribution

Platform Content

Matcha and its licensors own all rights to:

• The platform's design, features, and functionality
• Our logos, trademarks, and branding
• Proprietary algorithms and AI models
• Curated educational templates and resources

6. Payment Terms

Subscriptions

• Subscriptions automatically renew unless cancelled
• Prices may change with 30 days notice
• No refunds for partial months/years
• Downgrades take effect at the next billing cycle

School/District Billing

• Annual contracts with invoice billing available
• Volume discounts for multiple licenses
• Custom terms may apply for large institutions

Payment Processing

Payments are processed securely through Stripe. We do not store credit card information on our servers.

7. Service Availability and Support

• We strive for 99.9% uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be announced in advance
• Support response times vary by subscription tier
• We may modify or discontinue features with notice

8. Privacy and Data Protection

Your use of Matcha is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

Educational Records

For school accounts, we comply with FERPA (Family Educational Rights and Privacy Act) requirements for protecting student information.

9. Disclaimers and Limitations of Liability

Disclaimers

• Matcha is provided "as is" without warranties of any kind
• We do not guarantee the accuracy of generated content
• Educational content should be reviewed by qualified educators
• We are not responsible for third-party content or links

Limitation of Liability

To the maximum extent permitted by law, Matcha shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding the amount paid for the service in the past 12 months

10. Indemnification

You agree to indemnify and hold harmless Matcha, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or generate

11. Termination

By You

You may terminate your account at any time through account settings or by contacting support.

By Us

We may suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Remain inactive for extended periods

Effect of Termination

• Access to the platform will be disabled
• You may request data export within 30 days
• We may delete your data after 90 days
• Provisions that should survive will remain in effect

12. Dispute Resolution

Arbitration
